These Terms of Use (“Terms” or “TOS”) constitute an electronic record under the Information Technology Act, 2000 and the rules made thereunder. As this is a digital document, no physical or digital signature is required.

Any capitalized terms not defined herein shall have the meanings assigned to them under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and where applicable, the Digital Personal Data Protection Act, 2023.

Legally Binding Terms

These Terms constitute a legally binding agreement between you (“User”, “you”, “your”) and the Company.

They govern your access to and use of the App and all features, tools, and services offered through it (“Services”).

ProMento provides a digital platform that enables users to create profiles, interact with others, and participate in live or recorded audio, video, or digital interactions (“Content”).

By accessing or using the App in any manner, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not register for, access, or use the App.

We may revise these Terms from time to time. Continued use of the App after updates constitutes acceptance of the revised Terms.

Our Services

ProMento is an interaction-based digital platform that enables users to engage in live or asynchronous communication, including audio, video, and other digital interactions.

What You Can Do On ProMento

Services may include:

• Creating and managing a user profile
• Viewing and interacting with other profiles
• Participating in live or scheduled sessions
• Sending or receiving audio, video, or text communications
• Posting or engaging with content
• Using optional paid or promotional features

What ProMento Does Not Provide

To maintain compliance and safety, ProMento does not provide:

• Any nudity or unlawful content (strict zero-tolerance policy)
• Offline meetings or off-platform communication
• Sharing of personal contact details
• Background verification of users
• Employment or agency relationships between users
• Guaranteed availability of any user

Important Usage Notes

• You may voluntarily share personal information while using the Services
• You may receive service-related notifications or communications
• Interactions with unknown or anonymous users carry inherent risks
• You are solely responsible for your interactions and decisions
• You may stop using the Services at any time

Legal Disclaimer

Use of the App is entirely voluntary and at your own risk.

The Company acts as a Social Media Intermediary and is not responsible for:

• Outcomes of interactions between users
• Information voluntarily shared by users
• Conduct or behavior of other users
• Any off-platform communication

Age And Eligibility

To use ProMento, you must:

• Be 18 years of age or older
• Have legal capacity to enter into binding contracts
• Not be prohibited from using such services under applicable law

We may verify age using internal or third-party mechanisms. Failure to confirm eligibility may result in account suspension or termination, including forfeiture of unused balances.

Account Registration And Security

• Registration is required to access full Services
• Information provided must be accurate and current
• You are responsible for maintaining account security
• Sharing login credentials is strictly prohibited

All accounts, usernames, and identifiers remain the property of the Company. Buying, selling, or transferring accounts is prohibited.

We may conduct identity verification where legally required.

Content Standards And Restrictions

All content must comply with:

• Intermediary Guidelines, 2021
• Applicable Indian laws

You must not upload, share, or transmit content that:

• Is sexually explicit, abusive, violent, or harmful
• Involves minors in any form
• Spreads misinformation or impersonation
• Threatens national security or public order
• Violates intellectual property or privacy rights
• Promotes illegal activity, gambling, or fraud

The Company does not pre-screen all content but may remove content that violates laws or these Terms.

User Content And License

You retain ownership of your content.

By posting content on ProMento, you grant the Company a non-exclusive, royalty-free, worldwide, transferable license to host, use, distribute, modify, reproduce, and display such content for operating and improving the Services.

You confirm that you have all necessary rights to post your content.

Payments

Certain features may require payment.

• Payments must be made only through in-App mechanisms
• Off-platform payments are strictly prohibited
• All payments are non-refundable
• Subscription charges may auto-renew unless canceled
• Prices and plans may change with notice

Taxes, if applicable, are your responsibility.

Prohibited Activities

You may not:

• Use the App if legally ineligible
• Reverse engineer or tamper with the App
• Use bots or automated scraping tools
• Impersonate others or misrepresent identity
• Upload malware, spam, or harmful software
• Harass, threaten, or bully other users
• Exploit the platform for unauthorized commercial use

Violation may result in suspension, termination, or legal action.

Privacy Policy

Your use of ProMento is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

Suspension And Termination

We may suspend or terminate your account without liability if:

• You violate these Terms
• You create legal or operational risk
• Required by law or authority

User-generated content may remain available even after account termination.

Proprietary Rights

All technology, design, content, and materials on the App are owned by the Company or its licensors and protected by law.

You receive a limited, revocable license to use the App. No ownership rights are transferred to you.

Third-Party Services

The App may link to third-party services. We do not control or endorse such services and are not responsible for their actions or policies.

Disclaimer Of Warranties

The App and Services are provided “as is” and “as available”.

We do not guarantee:

• Accuracy or reliability of content
• Continuous availability
• Error-free or uninterrupted operation

All interactions are at your own risk.

Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, or losses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any law or third-party rights

Limitation Of Liability

To the maximum extent permitted by law:

• The Company shall not be liable for indirect or consequential damages
• Maximum liability shall not exceed INR 5,000 (India) or USD 150 (outside India)

Governing Law And Jurisdiction

These Terms are governed by the laws of India. Courts of Rajasthan shall have exclusive jurisdiction.

Miscellaneous

• Severability: Invalid provisions do not affect others
• Non-Waiver: Delay in enforcement is not a waiver
• Force Majeure applies
• Assignment by Company permitted
• Entire Agreement clause applies
